Terms of Service

Last updated: October 13, 2026

1. Parties and acceptance

These terms govern access to and use of the website and the Interpolgar Nexus platform (the “Service”), provided by TIRGAR INTERPOLGAR DIGITAL LLC (“we”). The Service is intended for organizations (insurers, claims administrators, credit unions, banks and related providers), not consumers. By using the Service, or by signing an order form, proposal or pilot agreement that incorporates these terms, you represent that you have authority to bind your organization (the “Customer”) and accept these terms. If a signed master agreement exists, it prevails in case of conflict.

2. Description of the Service

The Service provides decision-support tools for health and auto claims, life underwriting and claims, retirement-plan projections and withdrawals, and credit evaluation and servicing, together with dashboards, reports, integrations and a self-service portal for insureds. We may improve, modify or discontinue features; if a change materially affects the Customer, we will give reasonable notice.

3. Pilots and trials

Pilots are evaluation periods with scope, duration (typically 90 days), metrics and permitted data agreed in writing. They may be free, are provided “as is,” include no service-level agreement or guaranteed support, and either party may end them with reasonable notice. Pilots must be run with synthetic or de-identified data. Unless agreed otherwise in writing, no commercial license or exclusivity is granted.

4. Accounts, security and users

The Customer designates administrators, assigns permissions under the principle of least privilege and is responsible for credentials and all activity under its accounts. We recommend enabling two-factor authentication and periodically reviewing access and sessions. The Customer must notify us without delay of any suspected unauthorized access. We may suspend accounts that pose a security risk, with notice afterwards where possible.

5. Acceptable use

Use of the Service is subject to the Acceptable Use Policy. In particular, the Customer will not use the Service unlawfully, to bypass or test security controls without written authorization, to upload malicious code, to scrape or copy the Service for competitive purposes, or to make decisions that violate anti-discrimination, fair-lending, insurance or consumer-protection laws.

6. Customer Data

The Customer retains all rights in the data it uploads or generates (“Customer Data”). It grants us a limited, non-exclusive, revocable license to process it solely to provide and protect the Service and comply with law. We act as a service provider or processor; the Customer is responsible for the lawfulness of the data, for having the applicable legal bases, notices and consents, and for limiting uploads to what is necessary. We do not use Customer Data to train our own or third-party artificial-intelligence models. We may use aggregated, non-identifiable data about how the Service performs to operate, protect and improve it.

7. Regulated data

Identifiable health information (PHI), payment-card data, government identification numbers or other regulated data must not be uploaded unless an applicable written agreement exists (for example, a Business Associate Agreement for HIPAA or a data processing addendum) and the agreed security reviews are complete. If the Customer is a regulated entity, it is responsible for its own compliance (for example, HIPAA, GLBA, FCRA/ECOA, state insurance and lending rules, anti-money-laundering).

8. AI outputs and decisions

Outputs, scores, recommendations and alerts are decision support for qualified people; they are not legal, medical, financial, actuarial or insurance advice and do not replace professional judgment. The Customer retains the final decision and responsibility for it, including legally required notices (for example, adverse-action notices with the principal reasons), human oversight of high-impact decisions and any bias testing its regulator requires. Interpolgar Nexus is not a consumer reporting agency. Savings estimates are illustrative and do not guarantee results.

9. Compliance and certifications

The Service is designed with controls aligned with HIPAA, SOC 2 and OWASP, but it does not currently have an independent audit or certification and we make no claim of certified compliance. The current status of controls is on the Security and compliance page. When requested, we will answer reasonable security questionnaires.

10. Support and availability

We will use reasonable efforts to keep the Service available and to answer inquiries during business hours. Availability commitments, response times and credits exist only if set out in a signed service-level agreement. We may perform scheduled maintenance with reasonable notice.

11. Fees, invoicing and taxes

Prices, terms and conditions are set in the accepted order form or proposal. Unless otherwise stated, fees are invoiced in advance, payable within 15 days, non-refundable and exclusive of taxes. Overdue payments may lead to suspension after 10 days’ notice, and to interest at the maximum rate permitted by law. The Customer may dispute an invoice in good faith within 15 days.

12. Intellectual property

We and our licensors retain all rights in the Service, its software, algorithms, default rules, marks, documentation and improvements. We grant the Customer a limited, non-exclusive, non-transferable right to use the Service during the term. The Customer retains ownership of the rules and configurations it creates with its own data. Feedback it gives us may be used freely without obligation.

13. Confidentiality

Each party will protect the other’s confidential information with the same care it uses for its own and at least reasonable care, will use it only to perform the agreement and will disclose it only to those who need to know and are bound by confidentiality. It does not apply to information that is public, previously known, independently developed or lawfully obtained from a third party, or to disclosures required by law (with prior notice where possible). The obligation lasts 3 years after termination, and for trade secrets as long as they remain trade secrets.

14. Publicity

Neither party will use the other’s name or logo in public materials without written authorization. We may state that the Customer participates in a pilot only with its approval.

15. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care. EXCEPT AS STATED AND TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that AI outputs are accurate, complete or suitable for a specific regulated use.

16. Limitation of liability

To the extent permitted by law, neither party will be liable for indirect, special, incidental, consequential or punitive damages, or for lost profits or revenue, even if advised of the possibility. Our total cumulative liability will not exceed the amounts paid by the Customer in the 12 months before the event (or USD 1,000 if the Service was free). These limits do not apply to fraud, willful misconduct or gross negligence, to indemnification obligations, or to what the law does not allow to be limited.

17. Indemnification

The Customer will defend and indemnify us against third-party claims arising from Customer Data, from its use of the Service in violation of these terms or the law, or from its decisions based on the Service. We will defend the Customer against third-party claims alleging that the Service, used in accordance with these terms, infringes their intellectual property, subject to customary exclusions (modifications, combinations, Customer Data) and with the right to modify, replace or discontinue the infringing feature.

18. Term, termination and return of data

The agreement lasts for the agreed term and renews as the order form provides. Either party may terminate for material breach not cured within 10 days or, where there is no fixed term, on 30 days’ notice. After termination, the Customer may export its data for 30 days; we will then delete it from active systems and from backups on their rotation cycle, and will confirm in writing on request, except what we must retain by law. Provisions that by their nature should survive will survive.

19. Export and sanctions

The Customer represents that it is not on any U.S. sanctions list and will not use the Service in violation of export or sanctions laws.

20. Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control (disasters, failures of infrastructure or internet providers, large-scale attacks, acts of authority), except payment obligations.

21. Governing law and disputes

These terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law rules. The parties will first try to resolve disputes by good-faith negotiation for 30 days; thereafter the state or federal courts located in Salt Lake County, Utah will have exclusive jurisdiction, unless the contract provides for arbitration. Each party waives jury trial to the extent permitted.

22. General

These terms and the order form are the entire agreement on their subject. Amendments and waivers must be in writing. Neither party may assign the agreement without consent, except in a merger or sale of the business with notice. If a provision is unenforceable, the rest remains in effect. Notices must be in writing to the addresses in the agreement or by email with confirmation of receipt. Electronic signatures and counterparts are accepted.

23. Changes and contact

We may update these terms and will post the date of the latest update; material changes will be notified 30 days in advance. Continued use after a change means acceptance, subject to any signed contract. Contact: info@interpolgarnexus.com.
